These Terms & Conditions ("Terms") govern your access to and use of the website at dermhipaa.com and our related tools at check.dermhipaa.com and checkup.dermhipaa.com (together, the "Website"), which are operated by Wire Briar LLC, a Utah limited liability company located in Mapleton, Utah ("Wire Briar," "we," "us," or "our"). DermHIPAA is a trade name of Wire Briar LLC.
By accessing or using the Website, you agree to these Terms. If you do not agree, do not use the Website.
1. Scope of These Terms
These Terms apply to the Website only: our marketing and informational pages, the free HIPAA Checkup course and self-assessment, and the email security check.
These Terms do not govern the services we provide to clients. If Wire Briar provides services to your organization, those services are governed exclusively by the written agreements between us, including any Master Services Agreement, Service Order, and Business Associate Agreement (collectively, "Client Agreements"). In the event of any conflict between these Terms and a Client Agreement, the Client Agreement controls with respect to those services. Nothing on the Website creates a client relationship, a business associate relationship, or any service obligation.
2. Definitions
"Content" means all text, video, audio, graphics, data, assessments, questions, help text, scripts, reports, and other materials made available on the Website. "HIPAA Checkup" means the free course and self-assessment offered at checkup.dermhipaa.com. "Email security check" means the tool at check.dermhipaa.com that reads publicly available DNS records for a domain you enter.
3. Changes to These Terms
We may modify these Terms from time to time. When we do, we will post the updated Terms on this page and revise the Effective Date above. Your continued use of the Website after updated Terms are posted constitutes your acceptance of them.
4. Limited License
We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Website and its Content for your own internal, non-commercial evaluation and educational purposes, including sharing the written results of your own HIPAA Checkup or email security check within your organization and with your own advisors, IT provider, or insurer. You may not resell, republish, or redistribute the Content, or use it to build or market a competing product or service.
5. No Professional, Medical, Legal, or Compliance Advice
The Website is informational only. Nothing on the Website is legal advice, compliance advice, medical advice, accounting advice, or professional advice of any kind, and no attorney-client or other professional relationship is formed by using it.
There is no such thing as HIPAA certification. The United States Department of Health and Human Services does not certify, endorse, or approve any organization, product, or service as HIPAA compliant, and neither do we. The Website does not and cannot determine whether your organization complies with HIPAA or any other law.
The HIPAA Checkup is a self-assessment that you complete about your own organization. It is not an audit, an inspection, a risk analysis as required by 45 CFR 164.308(a)(1)(ii)(A), or a compliance determination. Its result is a count of the items you told us are in place. It reflects only your own answers, which we do not verify. The questions are drawn from the HIPAA Security Rule but the HIPAA Checkup is not exhaustive, is not a substitute for a risk analysis, and does not cover every obligation that may apply to you.
The email security check reports what public DNS records say at the moment you run it. DNS records change, propagation takes time, and a favorable result does not mean your email or your systems are secure. You remain solely responsible for your own security and compliance decisions. You should consult qualified legal counsel and qualified security professionals about your own circumstances.
6. Do Not Submit Protected Health Information
The Website is not intended or designed to receive protected health information ("PHI") as defined under HIPAA, or any other patient, medical, or health information about any identifiable individual. Do not include PHI or patient information in any form, email, checkup answer, or other communication submitted through the Website. Your use of the Website does not create a business associate relationship with Wire Briar, and no Business Associate Agreement applies to information submitted through the Website. If PHI is submitted in violation of this Section, we may delete it without notice.
7. Eligibility
You must be at least 18 years old to use the Website. If you use the Website on behalf of an organization, you represent that you are authorized to accept these Terms on that organization's behalf, and "you" includes that organization.
8. Acceptable Use
You agree not to:
- use the email security check to enter a domain you neither own nor administer, other than for a legitimate purpose such as evaluating a vendor you do business with, and never to prepare or facilitate an attack;
- attempt to gain unauthorized access to the Website, its underlying systems, or any account;
- interfere with or disrupt the Website, including by automated querying, scraping, or by circumventing rate limits or other technical restrictions;
- use the Website to send unsolicited or unlawful communications, or to impersonate any person or organization;
- submit false, misleading, or third-party personal information; or
- use the Website in violation of any applicable law or regulation.
We may limit, suspend, or terminate access to the Website at any time, with or without notice, for any reason, including suspected violation of this Section.
9. Intellectual Property; Trademarks
The Website and its Content are owned by Wire Briar or its licensors and are protected by copyright, trademark, and other laws. Except for the limited license in Section 4, no rights are granted to you. "DermHIPAA," "Wire Briar," and our logos are trademarks of Wire Briar LLC. HIPAA is a federal statute, and neither the statute nor any government agency endorses us. Google, Google Workspace, Microsoft, Microsoft 365, AccountableHQ, Paubox, and other third-party names used on the Website are the trademarks of their respective owners and are used for identification only; their use does not imply any affiliation with or endorsement by those owners.
10. Feedback
If you send us suggestions, comments, or other feedback about the Website, our course, or our services, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use it for any purpose without obligation or compensation to you. Please do not send us information you consider confidential.
11. Copyright Complaints
If you believe material on the Website infringes your copyright, please send a notice with the information required by the Digital Millennium Copyright Act to legal@dermhipaa.com, including identification of the work, its location on the Website, your contact information, and a statement of good-faith belief and accuracy.
12. Links to Other Websites
The Website links to third-party websites, including government regulations, federal reports, and vendor documentation that we cite. Those websites are not under our control, and we are not responsible for their content, accuracy, or practices. Links are provided so you can verify what we say, not as an endorsement.
13. Linking to Our Website
You may link to the Website provided the link is not misleading, does not imply sponsorship or endorsement, and does not frame or alter the Content.
14. Privacy Policy
Our handling of information collected through the Website is described in our Privacy Policy, which is incorporated into these Terms by reference. In particular, HIPAA Checkup answers remain on your own device and are transmitted to us only if you request the written results.
15. Warranty Disclaimer
THE WEBSITE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WIRE BRIAR DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE WEBSITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT ANY CONTENT, RESULT, OR FINDING IS ACCURATE, CURRENT, OR COMPLETE. WE DO NOT WARRANT THAT USE OF THE WEBSITE WILL RESULT IN COMPLIANCE WITH HIPAA OR ANY OTHER LAW.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WIRE BRIAR AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO YOUR USE OF THE WEBSITE, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE WEBSITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). THE WEBSITE, THE HIPAA CHECKUP, AND THE EMAIL SECURITY CHECK ARE PROVIDED FREE OF CHARGE, AND THIS LIMITATION REFLECTS THAT.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above may not apply to you. Nothing in these Terms limits liability that cannot be limited under applicable law. This Section does not apply to services provided under a Client Agreement, which contains its own limitations.
17. Indemnification
You agree to indemnify, defend, and hold harmless Wire Briar and its members, managers, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or related to your use of the Website, your violation of these Terms, your submission of PHI or third-party personal information, or your use of the email security check in violation of Section 8.
18. Termination
These Terms remain in effect while you use the Website. We may suspend or terminate your access at any time. Sections 5, 6, 9, 10, and 15 through 20 survive termination.
19. Governing Law; Venue; Limitation Period
These Terms and any dispute arising out of or relating to them or the Website are governed by the laws of the State of Utah, without regard to its conflict-of-laws rules. You and Wire Briar consent to the exclusive jurisdiction and venue of the state and federal courts located in Utah County, Utah, and waive any objection to that venue. Any claim arising out of or relating to the Website must be brought within one (1) year after the claim arose, or it is permanently barred, except where a longer period is required by law.
20. General Terms
These Terms, together with the Privacy Policy, are the entire agreement between you and Wire Briar regarding the Website. If any provision is held unenforceable, the remaining provisions remain in effect and the unenforceable provision will be modified to the minimum extent necessary. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets. There are no third-party beneficiaries. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship.
